Ayfie International AS contemplates share issue

(Oslo, 19 June 2026) Ayfie International AS ("Ayfie" or the "Company") announces that it is contemplating proposing to an extraordinary general meeting of the Company that the Company approves the issue of new shares at a subscription price of NOK 3 per share in a private placement, to raise gross proceeds of NOK 7-10 million, with warrants to subscribe for further shares at the subscription price. The Company has to date received initial commitments from leading existing shareholders for NOK 5 million of the potential share issue.

The net proceeds from the contemplated private placement will be used to cover identified short-term funding needs, strengthen the Company's balance sheet and for general corporate purposes.

If proposed to and approved by the extraordinary general meeting, the private placement would represent a deviation from the shareholders' preferential rights to subscribe for shares. The Company is of the view that a private placement as contemplated would be in compliance with applicable equal treatment principles.

The Company has continued to reduce its operating costs and now runs on a materially leaner annualised cost base than a year ago. Together with the contemplated capital raise, this lower cost base is intended to strengthen the Company's financial position and extend its financial runway.

Following this reduction in operating costs, the Company is focused on commercialising secure enterprise AI products where customers can choose where the solution runs, including a fully sovereign Norwegian option on the Telenor AI Factory, where customer data is processed and kept within Norway and under the customer's control.
