(Bergen, 21 December 2021): Bergen Carbon Solutions AS (BCS, OSE:BCS): Reference
is made to the stock exchange notice on 1 December 2021 regarding a conditional
share purchase agreement between Awilco AS and the two founders of Bergen Carbon
Solutions AS.  Reference is further made to the stock exchange notice on 20
December regarding a major technological breakthrough for the Company.  The
conditions in the share purchase agreement have now been fulfilled and Awilco AS
has therefore declared its option and today acquired 1,400,000 shares for a
price of NOK 45 per share as previously agreed. 700,000 shares were acquired
from Jan B. Sagmo, CEO and 700,000 shares from Finn Blydt-Svendsen, COO. 300,000
of these shares were acquired from Møllen Invest AS, an associated company with
Finn Blydt-Svendsen. After the transactions Awilco AS owns 4,170,000 shares, Jan
B. Sagmo 2,280,000 shares and Finn Blydt-Svendsen 3,330,000 shares, including
24,000 shares through Møllen Invest AS.

As previously announced the parties have agreed that the Sellers will be subject
to a customary lock-up period of 12 months for their remaining shareholding in
Bergen Carbon Solutions AS.
