Copenhagen, October 7, 2024 -- The Board of Directors hereby convenes an
extraordinary general meeting of Cadeler A/S (the "Company" or "Cadeler") to be
held on Monday, 11 November 2024 at 10:00 (CET).

The Board of Directors convenes the EGM with the purpose of electing Thomas
Thune Andersen to the Board of Directors.

Agenda for the extraordinary general meeting

1. The general meeting's election of the chair of the general meeting
2. Proposals from the Board of Directors
    a. Proposal to amend Article 9.1 of the Articles of Association to allow the
Board of Directors to consist of 
         up to seven members
    b. Proposal to elect one new additional member to the Board of Directors
