CLOUD: Cloudberry Clean Energy ASA | Approval and publication of Prospectus and listing of Listing Shares

Oslo, 14 October 2026: Reference is made to the stock exchange announcement made
by Cloudberry Clean Energy ASA (the "Company") on 31 August 2026 regarding the
successful completion of the acquisition of a Nordic renewable energy platform
from Orrön Energy Holding AB, as announced on 25 June 2026 (the "Acquisition"),
establishing Cloudberry as a leading Nordic IPP (the "Announcement"). The
transaction adds approximately 758 GWh of annual proportionate power production
from a complementary asset base, bringing Cloudberry's total annual
proportionate production to approximately 2.1 TWh, a near doubling compared to
year-end 2025.

As further detailed in the Announcement, the board of directors of the Company
(the "Board") resolved, as part of the completion of the Acquisition, to issue
124,378,083 new shares in the Company at a subscription price of NOK 13.50 per
share (the "Consideration Shares") as partial settlement for the Acquisition.
The issuance of the Consideration Shares was made pursuant to the Board's
authorization to issue new shares granted by the Company's Annual General
Meeting on 23 April 2026 and Extraordinary General Meeting on 4 August 2026.

Of the Consideration Shares, 75,866,410 shares were issued on a separate ISIN
(NO0013768465) (the "Listing Shares") pending approval by the Financial
Supervisory Authority of Norway (Nw. Finanstilsynet) of a listing prospectus
prepared by the Company (the "Prospectus"). The remaining 48,511,673 shares were
issued on the Company's ordinary ISIN and are already tradable on Euronext Oslo
Børs. As further detailed in the stock-exchange announcement on 25 June 2026 the
Consideration Shares are subject to a 12 month lock-up period from close of the
transaction on 31 August 2026.

Approval and publication of Prospectus

The Financial Supervisory Authority of Norway has today, 14 October 2026,
approved the Prospectus for the listing on Euronext Oslo Børs of the Listing
Shares.

The Prospectus includes financial information in Section 8 "Capitalisation and
Indebtedness" that has not previously been published, comprising the Group's
unaudited consolidated capitalisation and net financial indebtedness as of 31
July 2026, derived from unaudited consolidated management accounts and adjusted
for certain post-balance sheet events.

Listing of the Listing Shares

Following the approval and publication of the Prospectus, all 75,866,410 Listing
Shares will be transferred to the Company's ordinary listed ISIN (NO0010876642)
in the Norwegian Central Securities Depository, Euronext Securities Oslo (the
"VPS"), and become tradable on Euronext Oslo Børs.
