CodeLab Capital AS - Agil Helse transaction finalized

Oslo, 2 June 2026

Reference is made to the stock exchange notice published by CodeLab Capital AS
(the "Company") on 29 April 2026 regarding the Company's acquisition of 100% of
Agil Helse AS.

All closing conditions have been met and lifted by both buyer and sellers. As
such the transaction has been carried through. 

From an accounting point of view the Company will include Agil Helse from June
1st 2026. 

Transaction details

CodeLab has acquired 100% of the issued shares in Agil. The purchase price is
NOK 7 620 153, which is settled as follows:

o	NOK 3 000 113.4 paid in cash
o	The remaining consideration of NOK 4 620 039.6 shall be settled through the
issuance of 1 050 009 shares in CodeLab, valued at NOK 4.40 per share.

The issuance of shares to the sellers and registration with the Norwegian
Register of Business Enterprises are ongoing and expected to be in place over
the next weeks.
