Reference is made to the stock exchange announcement made by CodeLab Capital AS
(the "Company") on 26 June 2024 regarding the successful placing of a private
placement of 137,931,035 new shares (the "Offer Shares") in the Company raising
gross proceeds of NOK 40 million (the "Private Placement"). Reference is further
made to the stock exchange announcement on 10 July 2024 where it was announced
that the extraordinary general meeting had adopted the resolution to increase
the share capital pertaining to Tranche 2 (as defined in the abovementioned
stock exchange announcement) of the Private Placement.
The share capital increase pertaining to Tranche 2 of the Private Placement has
now been registered with the Norwegian Register of Business Enterprises (Nw.:
Foretaksregisteret).
The new share capital of the Company is NOK 46.949.019,0990321, divided into
341.793.722 shares, each with a nominal value of NOK 0.137360683.
