Lars Bjørn Thoresen, Chairman of the Board of Directors of Cxense ASA, had until
this afternoon received powers of attorney to represent and vote for a total of
1,875,352 shares at the upcoming Extraordinary General Meeting on 7 February
2019, corresponding to 20,63% of the share capital and the voting rights of the
company. The powers of attorney are only valid at the Extraordinary General
Meeting. In addition, Lars Bjørn Thoresen holds 26,177 shares in Cxense ASA
privately and 12,500 shares through Lt Invest AS, a company owned by Lars Bjørn
Thoresen and family members. 
 
As Mr Thoresen will not attend and open the Extraordinary General Meeting for
valid reasons, the Board of Directors has appointed Lars André Gjerdrum,
Cxense’s lawyer, to attend and open the Extraordinary General Meeting.
Consequently, Mr Thoresen has authorized Mr Gjerdrum to represent and vote for
the powers of attorney received by Mr Thoresen in addition to the shares hold by
Mr Thoresen privately and through Lt Invest AS. In total, Mr Gjerdrum has
received powers of attorney to represent and vote for a total of 1,914,029
shares, representing 21.06% of the share capital and the voting rights of the
company, at the Extraordinary General Meeting.
