Please find below a summary of legal developments which occurred April 2026. 

1) Intesa Sanpaolo Settlement Agreement Signed:

As previously reported, the Company and Intesa Sanpaolo have been working to
finalize a settlement agreement aimed at ending a dispute between the parties.
The parties have now signed the agreement on the terms previously reported. The
hearing scheduled for 8 July 2026 will be dropped and the proceedings ended.

In conjunction with the settlement agreement EAM will book a positive reversal
of EUR 1.39m in the second quarter financial accounts due to a write down of the
debt provision for the Intesa Sanpaolo claim. 


2) Cassation Court:

On 22 April 2026 the Court of Cassation held the final hearing in the matter
related to the first arbitration case. A decision in this matter is not expected
before June 2026. 


3) ESGI Bankruptcy:

On 16 April 2026 the bankruptcy of the company Energetic Source Green Investment
Srl ("ESGI") has issued its final disbursements to the creditors. The bankruptcy
is expected to soon close.
 
EAM Group received a one-off disbursement in April of EUR 240k (NOK 2.6m).
 
For the avoidance of doubt, this is not the same bankruptcy disbursement the
Company reported on 23 March 2026. 


4) ENS 1 Valuation Postponement:

The hearing originally scheduled for 21 May 2026 has been postponed by the court
until 1 October 2026.
