Please find attached the notice of an Extraordinary General Meeting of EcoOnline
Holding AS (the "Company") to be held on 16 July 2021 at 11:00 CEST.
The Board of Directors has proposed that the General Meeting elects Sara
Arildsson as new Board member in the Company, replacing Joakim Sundby Johansen.
It is proposed that Joakim Sundby Johansen takes on the position as observer on
the Board of Directors. 
Sara Arildsson, who previously has been chief operational officer (COO) in
iZettle and chief executive officer (CEO) in Fortnox, is an experienced
international sales director and a "go to market" specialist with a reputation
for strong leadership and consistent achievements. She also has a strong
background from IBM (8 years). Arildsson has special knowledge around M&A,
improvement initiatives, business integrations and change programs to build
revenue, reduce costs and enhance customer service. As such, the Board of
Directors believes that Arildsson will be a good fit to the Company's Board of
Directors and a strong contributor to the Company's Board work going forward.
Due to the corona pandemic, the Board of Directors has resolved that the
Extraordinary General Meeting will be held as a digital meeting in accordance
with section 5-8 of the Norwegian Private Limited Liability Company's Act (as
amended as from 1 June 2021). Shareholders must therefore cast their votes in
advance of the General Meeting or grant the Chair of the Board a proxy, with or
without voting instructions. The Company will arrange for shareholders to attend
and ask questions at the General Meeting via video. For further details, please
