Oslo, 16 December 2021 | Reference is made to the stock exchange announcement by
EcoOnline Holding AS ("EcoOnline" or the "Company") on 18 June 2021 where the
Company informed that the board of directors inter alia had approved an employee
stock purchase plan (ESPP) of which a part of the program where to be offered to
all permanent employees of the group.
All permanent employees have, during a period starting on 6 December and ending
15 December 2021 at 12:00 CET (the subscription period), been given the
opportunity to subscribe shares in the Company at a discount, for the amount of
NOK 7,500, NOK 15,000 or NOK 22,500 (after discount). The subscription price per
share of NOK 14.111 is equal to the volume-weighted average trading price for
the Company's shares on Euronext Growth Oslo during the trading days of the
subscription period, less a 25% discount.
Based on the applications received from the employees and pursuant to an
authorisation granted by the Company's extraordinary general meeting on 15 March
2021, the board has today resolved to increase the Company's share capital by
NOK 20,615.70 by issuing 206,157 new shares, each at a nominal value of NOK
0.10, at a subscription price of NOK 14.111 per share. Following the share
capital increase, the Company's share capital is NOK 16,445,611.90, consisting
of 164,456,119 shares, each with a nominal value of NOK 0.10.
