Reference is made to the announcement dated 28 September 2022 by Visma Holding
Norge AS (the "Offeror" and together with the Visma group, "Visma") of the issue
of the offer document (the "Offer Document") and the start of the offer period
(the "Offer Period") for the recommended voluntary cash offer (the "Offer") to
acquire all outstanding shares (the "Shares") in House of Control Group AS (the
"Company") at an offer price of NOK 11.20 per Share. Reference is further made
to the announcement dated 1 November 2022, in which the Offeror announced
preliminary results of the Offer.
Following final verification of acceptances, the Offeror received acceptances
under the Offer for a total of 55,945,508 shares, equivalent to approximately
98% of the issued share capital and votes in the Company.
Settlement of the Offer will take place no later than 15 November 2022, subject
to the following closing conditions of the Offer remaining fulfilled until
settlement of the Offer:
- that the Company's board of directors have not amended, modified or withdrawn
its recommendation of the Offer
