Reference is made to the stock exchange announcements made on 23 October 2024, 6
November 2024, 7 November 2024 and 12 November 2024, whereby KMC Properties ASA
("KMC Properties" or the "Company") announced information relating to dividend
payments. 

On 12 November 2024, the extraordinary general meeting of the Company resolved
that the Company shall distribute assets for NOK 1,354,009,465.93 to Eligible
Shareholders (as defined below) in the form of A-shares and B-shares in Logistea
AB (publ) ("Logistea") and that if the total value of the Company shares in
Logistea at the time of the distribution equals a lower amount than NOK
1,354,009,465.93, then A-shares and B-shares in Logistea for the lower amount
shall be distributed.  The Company's 5,271,803 A-shares and 69,536,077 B-shares
in Logistea have a total value of NOK 1,101,677,119.72 based on the closing
price of Logistea A-shares and B-shares on 21 November 2024 and the NOK/SEK
exchange rate quotes by Norges Bank on 21 November 2024, which means that all
such shares may be distributed. As fractional shares cannot be distributed, the
Company has as previously communicated rounded down to the nearest whole number
the number of shares in each class to be distributed to each Eligible
Shareholder. As a consequence, a total of 5,271,011 A-shares and 69,535,273
B-shares in Logistea (the "Second Distribution Shares") will be distributed.

The Second Distribution Shares will be distributed to the Company's shareholders
as of 12 November 2024 (as registered in Euronext Securities Oslo (VPS) on 14
November 2024) (the "Eligible Shareholders"). Of the Second Distribution Shares,
a total of 4,970,219 A-shares and 65,560,985 B-shares in Logistea will be
distributed as dividend in kind on or about 22 November 2024 to Eligible
Shareholders on Swedish deposit accounts, while the remaining Second
Distribution Shares, amounting to 300,792 A-shares and 3,974,288 B-shares, will
be distributed as Norwegian Depository Receipts ("NDRs"). Eligible Shareholders
receiving NDRs representing their Second Distribution Shares are expected to
receive their NDRs on or about 22 November 2024.

As a result of the first distribution of consideration shares made in July 2024
and the distribution of the Second Distribution Shares, all the shares in
Logistea received by KMC Properties as consideration for the shares in KMC
Properties HoldCo AS will have been distributed to the Company's shareholders,
with the exception of 792 A-shares and 804 B-shares that remain in the Company's
ownership due to the rounding down of fractions referred to above.
