Reference is made to the stock exchange announcement published on 24 April 2024
regarding the notice of the annual general meeting in KMC Properties ASA (the
"Company") to be held on 15 May 2024.

The nomination committee has today submitted its recommendation to the annual
general meeting. The recommendation includes proposals regarding election of
board members, remuneration of the members of the board, the audit committee,
the remuneration committee and the nomination committee.

One of the members of the nomination committee, Andreas Akselsen, has a
dissenting opinion which is included as a separate proposal in the
recommendation. 

The recommendation made by the nomination committee is attached hereto. The
recommendation will also be made available on the Company's webpage www.kmcp.no.
