Magnora ASA: Notice of Extraordinary General Meeting

The shareholders of Magnora ASA are hereby invited to an Extraordinary General
Meeting to be held on 10 November 2026 at 09:00 CET at the offices of
Advokatfirmaet BAHR, Tjuvholmen allé 16, Oslo, Norway. There will also be an
option for shareholders to call in to the meeting.

Attached is the notice of the meeting, including attendance and proxy forms and
the Nomination Committee's recommendation. The notice is also available at
Magnora ASA's website: www.magnoraasa.com - http://www.magnoraasa.com.

The Nomination Committee has recognised that Magnora ASA's Board member Lars
Schedin is providing particular value in Magnora Data Center ASA where he also
serves as a Board member. After conferring with Mr. Schedin, the Nomination
Committee recommends that his position in Magnora ASA transitions from Board
member to Board observer, allowing him to dedicate additional time to Magnora
Data Center ASA while continuing to contribute to the work of the Magnora ASA
Board.

As a new Board member in Magnora ASA, the Nomination Committee recommends the
election of Stephen C. Harris, a US investor with more than 20 years of
investment and capital markets experience across private equity, venture
capital, credit and public markets. He is Managing Director and Head of Research
at Anthos Capital, a Santa Monica-based growth equity firm with approximately
USD 3 billion under management, and has broad Board experience. He holds a B.S.
in Economics (summa cum laude) from the Wharton School of the University of
Pennsylvania. He is also a significant shareholder in Magnora ASA, holding
1,371,452 shares.

Shareholders who register for the Extraordinary General Meeting are encouraged
to submit a proxy or cast their votes electronically in advance through VPS.
Votes cannot be cast during the meeting via phone or video conference.

before the meeting.
