MRCEL: Exercise of call option on Senior Secured Open Bond Issue 2020/2025 ISIN

Reference is made to the announcement dated 8 August 2022 in which Spring Bidco
(Norway) AS (the "Offeror") announced the settlement of its recommended
voluntary cash offer (the "Offer") to acquire all shares in Mercell Holding ASA
("Mercell"), and that the Offeror following the settlement and as of 8 August
2022, holds in total 483,289,024 shares in Mercell, equalling approximately
96.1% of the outstanding shares and votes of Mercell.
The board of Mercell has following a request from the Offeror resolved to
exercise its right to call the Senior Secured Open Bond Issue 2020/2025 ISIN
NO0010907876, and Mercell has today notified Nordic Trustee AS (as per the
attached Call Option Notice) of its exercise of the call option for the
remaining outstanding bonds in the bond issue of SEK 1,600 million Senior
Secured Open Bond Issue 2020/2025 ISIN NO0010907876.
The settlement date of the call option will be 23 August 2022. The record date
is end of business on 19 August 2022.
