Reference is made to the stock exchange announcement by Morrow Bank ASA (the
"Company") on 14 June 2023 regarding the completion of the private placement of
22,222,222 new shares (the "Private Placement").
As a result of the Private Placement, Kistefos AS, a close associate of the
Company's board member Nicolai Lunde, has subscribed for 4,644,444 new shares.
In addition, Kistefos AS has loaned out 17,577,778 shares in the Company to
Pareto Securities AS to facilitate DVP settlement in the Private Placement
towards investors other than Kistefos AS. The shares that are borrowed by Pareto
will be redelivered upon registration of the share capital increase pertaining
to the Private Placement and delivery of the new shares in the VPS.
Notification forms for the above-mentioned transactions are attached to this
release.
Taking into account the shares subscribed in the Private Placement and the share
lending, Kistefos AS has temporarily reduced its notifiable holding to
30,219,405 shares, which represents respectively 14.61% and 13.19% of the share
capital of the Company before and after registration of the share capital
increase pertaining to the Private Placement.
The notifiable holding of Kistefos AS on a consolidated basis, which includes
the holdings of Kistefos Investment AS, is temporarily reduced to 37,780,010
shares, which represents respectively 18.26% and 16.49% of the share capital of
the Company before and after registration of the share capital increase
pertaining to the Private Placement.
After the registration of the share capital increase pertaining to the Private
Placement and re-delivery of the borrowed shares, Kistefos AS will have a total
notifiable holding of 47,797,183 shares in the Company, representing 20.86% of
the share capital of the Company. The consolidated notifiable holding of
Kistefos will be 55,357,788 shares, representing 24.16% of the share capital of
the Company.
The notifiable holdings referred to above include forward contracts held by
Kistefos AS for 2,860,000 shares and by Kistefos Investment AS for 6,827,272
shares as previously disclosed, as well as 400,000 shares issued in tranche 2 of
the Private Placement which will be placed on a separate ISIN and will be
unlisted pending approval of a listing prospectus, as referred to in the stock
exchange announcement by the Company on 14 June 2023.
