22 May 2024. Verdane Capital VIII K/S ("Verdane") has today sold 5,500,000
shares in Napatech A/S (the "Company" or "Napatech"), representing approx. 5.52
per cent of the share capital and voting rights in the Company, at a price per
share of NOK 32 for a total transaction size of NOK 176 million (the "Placing").
The shares were sold through a process managed by SpareBank 1 Markets AS (the
"Manager"). 

Prior to the Placing, Verdane holds 15,213,618 shares in Napatech, representing
approx. 15.27 per cent of Napatech's share capital and voting rights. After the
Placing, Verdane holds 9,713,618 shares in Napatech, representing approx. 9.75
per cent of the share capital and voting rights in Napatech. Verdane has thereby
fell below the 10% and 15% thresholds pursuant to section 38 of the Danish
Capital Markets Act.

Verdane is a closely associated legal person of chairman Christian Jebsen.

In connection with the Placing, Verdane has entered into a 90-day lock-up
agreement with the Manager.
