Reference is made to the stock exchange announcement of 25 March 2019 regarding
the preliminary results of Telecom Holding 3 AS' voluntary cash offer (the
"Offer") to acquire all the shares in NextGenTel Holding 3 ASA ("NextGenTel").

Following final registration of acceptances, the final acceptance level is
16,104,931 shares, representing approximately 69.17% of the total shares and
voting rights of NextGenTel. Taking into account the Kistefos group's 5,824,667
shares in NextGenTel, Telecom Holding 3 AS will upon completion of the Offer
control 21.929,598 shares and voting rights representing approximately 94.19% of
the total shares and voting rights in NextGenTel.

As earlier announced, the condition of minimum 90% acceptance, as set out in
Clause 1.6 of the Offer Document, has been fulfilled. Provided that the
condition set out in Clause 1.6 (ii) (no legal action) continues to be
fulfilled, and the condition set out in Clause 1.6 (iii) (conducting of business
in the ordinary course and in accordance with applicable laws, regulations and
decisions of competent governmental and regulatory authorities) continues to be
fulfilled or is waived by Telecom Holding 3 AS, settlement of the Offer is
expected to take place on 8 April 2019 at the latest.

Pursuant to the terms of the offer document, the purchase of the shares and the
settlement of the Offer will be made by Telecom Holding 3 AS.

Following settlement of the Offer, Telecom Holding 3 AS intends to initiate a
compulsory acquisition of the remaining outstanding shares of NextGenTel in
accordance with applicable laws, and propose that an application is filed with
the Oslo Stock Exchange to de-list the shares of NextGenTel.
