NGT: TELECOM HOLDING 3 AS COMPLETES VOLUNTARY OFFER FOR THE SHARES OF NEXTGENTEL HOLDING ASA

Telecom Holding 3 AS has today successfully completed the voluntary offer (the
"Offer") to acquire all issued and outstanding shares in NextGenTel Holding ASA
("NextGenTel"). Payment of the offer price has been made to the shareholders of
NextGenTel who accepted the Offer. Through the offer, Telecom Holding 3 AS has
acquired 16,104,931 shares.
Telecom Holding 3 AS now holds in total 21,929,598 shares and voting rights,
representing approximately 94.19% of the total shares and voting rights in
NextGenTel.

Telecom Holding 3 AS intends to initiate a compulsory acquisition of the
remaining outstanding shares of NextGenTel in accordance with applicable laws,
and will propose that an application is filed with the Oslo Stock Exchange to
de-list the shares of NextGenTel. A separate announcement will be released once
the compulsory acquisition has been resolved in accordance with Section 6-22 of
the Norwegian Securities Trading, cf. Section 4-25 of the Norwegian Public
Limited Companies Act.
