On expiry of the offer period on 25 March 2019 at 17:00 CET, Telecom Holding 3
AS has received acceptance for the voluntary cash offer (the "Offer") to acquire
shares in NextGenTel Holding ASA ("NextGenTel") for a total of 16,024,962 shares
and voting rights representing approximately 68.83% of the total shares and
voting rights of NextGenTel. Taking into account the Kistefos group's 5,824,667
shares in NextGenTel, Telecom Holding 3 AS will upon completion of the Offer
control 21,849,629 shares and voting rights representing approximately 91.92% of
the total shares and voting rights in NextGenTel (on a fully diluted basis).

The acceptance level is based on preliminary numbers and may be subject to
adjustments.
 
Accordingly, the condition of minimum 90% acceptance, as set out in Clause 1.6
of the Offer Document, has been fulfilled. Provided that the condition set out
in Clause 1.6 (ii) (no legal action) continues to be fulfilled, and the
condition set out in Clause 1.6 (iii) (conducting of business in the ordinary
course and in accordance with applicable laws, regulations and decisions of
competent governmental and regulatory authorities) continues to be fulfilled or
is waived by Telecom Holding 3 AS, settlement of the Offer will take place as
soon as reasonably possible, and no later than 14 calendar days after the date
of this announcement. Thus, it is expected that settlement of the Offer will
take place no later than 8 April 2019.

Following settlement of the Offer, Telecom Holding 3 AS intends to initiate a
compulsory acquisition of the remaining outstanding shares of NextGenTel in
accordance with applicable laws, and propose that an application is filed with
the Oslo Stock Exchange to de-list the shares of NextGenTel.
