On April 20th, 2021 The Annual General Meeting of Nordic Semiconductor ASA
approved the issue of up to 600 000 Restricted Stock Units (RSUs) and
Performance Shares, equivalent to approximately 0.3% of the company's
outstanding share capital.
In total in this release, 452 353 RSUs and Performance Shares have been granted,
equivalent to 0.23% of the company's outstanding share capital.
As basis for the calculation of RSUs and Performance Shares, a weighted average
share price the five trading days after the Annual General Meeting of NOK 182.2
has been used.
All Employee Plan
Today, on April 28th, 2021 the company has granted 386 743 RSUs to employees
under the all-employee program. For employees, the RSUs will vest after two
years and the shares will be delivered to the employee at the vesting date
against payment of the par value of the share (subject to the employee's
continued employment with the Company). The shares may be newly issued shares or
existing treasury shares.
Primary insiders in Nordic Semiconductor have received the following RSUs,
according to the terms described above:
Employee elected Board member Jon Helge Nistad has been granted 298 RSUs.
Following this transaction, he holds 898 RSUs and 927 options in the Company.
Employee elected Board member Susheel Raj Nuguru has been granted 286 RSUs.
Following this transaction, he holds 886 RSUs and 855 options in the Company.
Employee elected Board member Morten Dammen has been granted 485 RSUs. Following
this transaction, he holds 2 635 RSUs and 1 186 options in the Company.
Employee elected Board member Joel Stapleton has been granted 474 RSUs.
Following this transaction, he holds 3 124 RSUs and 1 095 options in the
Company.
Executive Management Plan
With reference to the Annual general meeting held on April 20th, 2021, members
of the Executive Management team have today been granted a total of 36 640 RSUs
and 28 970 performance shares in the company. The RSUs will vest after three
years and the shares will be delivered to the employee at the vesting date
against payment of the par value of the share (subject to the employee's
continued employment with the Company). The shares may be newly issued shares or
existing treasury shares. The performance shares are issued conditional upon the
achievement of a certain set of objectives. The performance shares vest and will
be delivered at par value upon the completion of the performance period, which
is three years.
If the executive achieves at least 80% of the set performance targets, 50% of
the shares will be granted, whilst on 120% achievement of targets a maximum two
times the shares will be granted. As such, if maximum performance is achieved on
the performance shares, a total of 57 940 shares will be delivered to the
executive management team. If less than 80% performance is achieved, zero shares
will be delivered.
Details below is based on 100% performance achievement. For further details on
the program, please refer to the Guidelines for Executive Compensation that was
approved by the Annual General Meeting.
Svenn-Tore Larsen, CEO, received 10 933 RSUs and 6 213 performance shares.
Following the grant, Svenn-Tore has 1 905 400 shares, 12 721 share options, 21
554 RSUs and 30 270 performance shares in the company.
Pål Elstad, CFO, received 3 056 RSUs and 3 056 performance shares. Following the
grant, Pål has 18 846 shares, 7 880 share options, 9 401 RSUs and 15 803
performance shares in the company.
Svein-Egil Nielsen, CTO, received 3 455 RSUs and 3 455 performance shares.
Following the grant, Svein-Egil has 17 000 shares, 9 381 share options, 10 627
RSUs and 18 249 performance shares in the company.
Geir Langeland, EVP Sales and Marketing, received 6 139 RSUs and 3 189
performance shares. Following the grant, Geir has 187 700 shares, 8 256 share
options, 12 760 RSUs and 16 517 performance shares in the company.
Ole-Fredrik Morken, EVP Supply Chain, received 2 325 RSUs and 2 325 performance
shares. Following the grant, Ole-Fredrik has 180 000 shares, 6 567 share
options, 7 566 RSUs and 12 901 performance shares in the company.
Ebbe Rømcke, SVP Quality & Sustainability, received 2 059 RSUs and 2 059
performance shares in the company. Following the grant, Ebbe has 68 900 shares,
5 254 share options, 6 335 RSUs and 10 603 performance shares in the company.
Marianne Frydenlund, SVP Legal, received 1 927 RSUs and 1 927 performance
shares. Following the grant, Marianne has 2 500 shares, 4 315 share options, 5
927 RSUs and 9 433 performance shares in the company.
Kjetil Holstad, EVP Product Management, received 2 156 RSUs and 2 156
performance shares. Following the grant, Kjetil has 6 604 shares, 4 691 share
options, 6 432 RSUs and 10 243 performance shares in the company.
Ståle Ytterdal, SVP Investor Relations, received 2 066 RSUs and 2 066
performance shares. Following the grant, Ståle has 126 000 shares, 5 816 share
options, 6 480 RSUs and 11 206 performance shares in the company.
Katarina Finneng, EVP People & Communication, received 2 524 RSUs and 2 524
performance shares. Following the grant, Katarina has 600 shares, 6 667 share
options, 7 765 RSUs and 7 765 performance shares in the company.
