On April 28, 2023, employees in Nordic Semiconductor ASA have exercised 97,578
performance shares ("PSUs") and 409,801 restricted share units ("RSUs") in
Nordic Semiconductor ASA.  

The vested PSUs and RSUs were granted to the executive management team April 29,
2020, as part of the long-term incentive program approved by the Annual general
meeting held on April 22, 2020. The performance shares were issued conditional
upon the achievement of a certain set of objectives. At the end of the
performance period the awarded number of shares have been adjusted to 1.8 times
the numbers of shares initially granted. The Board of Directors has authorized
the use of treasury shares to settle the vested shares. 

The vested RSUs were granted to all employees on April 29, 2020 and April 28,
2021, as part of the long-term incentive program approved by the Annual general
meeting held on April 22, 2020 and April 20, 2021. The Board of Directors has
authorized the use of treasury shares to settle the vested shares.
 
On April 28, 2023, the primary insiders mentioned below ordered for a portion of
the received shares to be immediately sold by a third party in order to cover
the tax liability. 

Chief Executive Officer, Svenn-Tore Larsen, has transferred the rights for
14,870 shares. 

Chief Technology Officer, Svein-Egil Nielsen, has transferred the rights for
10,042 shares. 

EVP People & Communication, Katarina Finneng, has transferred the rights for
7,338 shares.

EVP Product Management, Kjetil Holstad, has transferred the rights for 5,987
shares. 

SVP Quality, Ola Boström, has transferred the rights for 852 shares. 

SVP IR, Ståle Ytterdal, has transferred the rights for 6,180 shares. 

Employee representative, Jon Helge Nistad, has transferred the rights for 149
shares. 

Employee representative, Gro Fykse, has transferred the rights for 297 shares.

Employee representative, Morten Dammen, has transferred the rights for 804
shares.

Employee representative, Anja Dekens, has transferred the rights for 134 shares.

On April 28, 2023, employees excluding primary insiders, ordered for 182,134
shares to be immediately sold by a third party. 

In total 507,379 treasury shares will be used, of which 228,787 shares will be
sold and 278,592 shares will be transferred to employees. 

The sales amount will be finally determined on the basis of the price
subsequently obtained by the third party in the market and will be announced in
a separate stock exchange notice when known. 

All expenses related to the vested options, PSUs and RSUs have already been
recognized in this and previous quarters, and the settlement has no net impact
on the operating expenses of the company in the future quarters.  
Subsequent to the transaction, Nordic Semiconductor holds 380,420 own shares.
There will be no share capital increase to cover the exercise of PSUs and RSUs.

Chief Executive Officer, Svenn-Tore Larsen, has exercised 10,621 RSUs and 19,119
PSUs. Following this transaction, he holds 1,947,142 shares, 17,465 RSUs and
12,745 performance shares in the Company.  

Chief Financial Officer, Pål Elstad, has exercised 6,345 RSUs and 11,422 PSUs.
Following this transaction, he holds 49,417 shares, 6,249 RSUs and 6,249
performance shares in the Company.  

Chief Technology Officer, Svein-Egil Nielsen, has exercised 7,172 RSUs and
12,911 PSUs. Following this transaction, he holds 42,285 shares, 7,064 RSUs and
7,064 performance shares in the Company.  

EVP Sales and Marketing, Geir Langeland, has exercised 6,621 RSUs and 11,918
PSUs. Following this transaction, he holds 219,653 shares, 9,518 RSUs and 6,568
performance shares in the Company.  

EVP Supply Chain, Ole Fredrik Morken, has exercised 5,241 RSUs and 9,434 PSUs.
Following this transaction, he holds 205,345 shares, 4,754 RSUs and 4,754
performance shares in the Company.  

SVP Quality, Ola Boström, has exercised 1,704 RSUs. Following this transaction,
he holds 2,427 shares and 2,881 RSUs in the Company.  

EVP People & Communication, Katarina Finneng, has exercised 5,241 RSUs and 9,434
PSUs. Following this transaction, she holds 7,937 shares, 5,186 RSUs and 5,186
performance shares in the Company.  

EVP Product Management, Kjetil Holstad, has exercised 4,276 RSUs and 7,697 PSUs.
Following this transaction, he holds 16,401 shares, 4,536 RSUs and 4,536
performance shares in the Company.  

SVP Investor Relations, Ståle Ytterdal, has exercised 4,414 RSUs and 7,946 PSUs.
Following this transaction, he holds 141,632 shares, 4,153 RSUs and 4,153
performance shares in the Company.
