NOD: Reporting of transactions made by persons discharging managerial responsibilities in Nordic Semiconductor ASA's shares

On August 6, 2026, employees in Nordic Semiconductor ASA and subsidiaries of
Nordic Semiconductor ASA have exercised 830,083 restricted share units ("RSUs")
in Nordic Semiconductor ASA.

The vested RSUs were granted to employees on July 12, 2023, May 3, 2024 and July
9, 2025, as part of the long-term incentive program approved by the Annual
general meeting held on April 20, 2023, April 24, 2024 and May 5, 2025. The
Board of Directors has authorized the use of treasury shares to settle the
vested shares.

Executive Management Plan 

The vested RSUs were granted to the executive management team July 12, 2023, as
part of the long-term incentive program approved by the Annual general meeting
held on April 20, 2023. The executive management team was also granted
Performance Shares. However, as the executives achieved less than 80% of the set
performance targets, no performance shares vested. The Board of Directors has
authorized the use of treasury shares to settle the vested shares. 

On August 6, 2026, the primary insiders mentioned below ordered for a portion of
the received shares to be immediately sold by a third party in order to cover
the tax liability. 

Chief Executive Officer, Vegard Wollan, has transferred the rights for 5,620
shares.

Chief Financial Officer, Pål Elstad, has transferred the right for 2,260 shares.

EVP Supply Chain, Ole Fredrik Morken, has transferred the rights for 1,720
shares. 

SVP Quality, Ola Boström, has transferred the rights for 1,473 shares. 

EVP BU Power Management and Wi-Fi, Kjetil Holstad, has transferred the rights
for 2,166 shares.

SVP People & Culture, Sonja Kusmin, has transferred the rights for 602 shares.

Employee elected board member, Anja Dekens, has transferred the rights for 228
shares.

Employee elected board member, Jon Helge Nistad, has transferred the rights for
331 shares.

On August 6, 2026, employees excluding primary insiders mentioned above, ordered
for 480,341 shares to be immediately sold by a third party. In total 830,083
treasury shares will be used, of which 494,741 shares will be sold and 335,342
shares will be transferred to employees. The sales amount will be finally
determined on the basis of the price subsequently obtained by the third party in
the market and will be announced in a separate stock exchange notice when known.
All expenses related to the vested RSUs have already been recognized in this and
previous quarters, and the settlement has no net impact on the operating
expenses of the company in the future quarters. 

Subsequent to the transaction, Nordic Semiconductor holds 487,261 treasury
shares in addition to 669,089 shares held for the founders of Memfault Inc.
There will be no share capital increase to cover the exercise of RSUs. 

An overview of RSUs exercised by primary insiders is described below: 

Chief Executive Officer, Vegard Wollan, has exercised 11,240 RSUs. Following
this transaction, he holds 156,620 shares, 29,750 RSUs and 39,378 performance
shares in the company.

Chief Financial Officer, Pål Elstad, has exercised 4,520 RSUs. Following this
transaction, he holds 46,398 shares, 13,909 RSUs and 18,448 performance shares
in the company.

EVP Sales, Geir Langeland, has exercised 4,783 RSUs. Following this transaction,
he holds 229,194 shares, 14,698 RSUs and 19,490 performance shares in the
Company. 

EVP Supply Chain, Ole Fredrik Morken, has exercised 3,439 RSUs. Following this
transaction, he holds 198,440 shares, 13,131 RSUs and 17,382 performance shares
in the company.

SVP Quality, Ola Boström, has exercised 2,946 RSUs. Following this transaction,
he holds 7,650 shares, 9,045 RSUs and 11,993 performance shares in the company.

EVP BU Power Management and Wi-Fi, Kjetil Holstad, has exercised 4,332 RSUs.
Following this transaction, he holds 22,025 shares, 13,395 RSUs and 17,780
performance shares in the company.

SVP People & Culture, Sonja Kusmin, has exercised 1,203 RSUs. Following this
transaction, she holds 3,402 shares, 6,508 RSUs and 9,764 performance shares in
the Company. 

Employee elected board member, Anja Dekens, has exercised 456 RSUs. 

Employee elected board member, Bjørn Spockeli, has exercised 378 RSUs.

Employee elected board member, Jon Helge Nistad, has exercised 661 RSUs.
