SalMars annonserte frivillige kontanttilbud for å kjøpe alle utestående aksjer i
Norway Royal Salmon ASA vil ikke fremmes

Frøya, 26. august 2021

Det  vises  til  børsmelding  datert  20. august 2021 hvor SalMar ASA ("SalMar")
annonserte sin intensjon om å fremme et frivillig kontanttilbud for å kjøpe alle
utestående  aksjer i Norway  Royal Salmon ASA  ("NRS" eller "Selskapet") for NOK
270 per  aksje ("Tilbudet").  I børsmeldingen  publisert av Selskapet 26. august
2021 ble  det annonsert at NTS  ASA ("NTS") har mottatt  aksepter i det pliktige
tilbudet som resulterer i at NTS blir eier av mer enn 50 % av aksjene i NRS.

Tilbudet  til SalMar  var betinget  av at  SalMar mottar  aksepter for, eller på
annet vis blir eier av, aksjer i NRS som representerer mer enn 50 % av aksjene i
NRS.  Ettersom  denne  betingelsen  ikke  kan  oppfylles, vil SalMar heller ikke
fremme Tilbudet.

SalMar  konstaterer  at  Tilbudet  fra  SalMar,  som var priset med en vesentlig
premie  til NTS'  pliktige tilbud  og etter  SalMars vurdering  representerte en
rettferdig  verdsettelse av NRS, ikke vil fremmes  for aksjeeierne i NRS, og  at
synergiene  som kunne vært oppnådd gjennom en sammenslåing av NRS og SalMar ikke
vil realiseres.
