NBX: Norwegian Block Exchange (NBX) closes the ninth put option period and initiates the tenth period

Oslo, 31 August 2026. Norwegian Block Exchange AS (NBX), a leading Nordic
cryptocurrency service provider and the first Norwegian listed active Bitcoin
treasury company, today announced the closing of the ninth put option period
under its existing financing agreement with LDA Capital and the initiation of
the tenth put option period.
Reference is made to the stock exchange notice of 20 July 2026 regarding the
issuance of a ninth Put Option Notice related to the agreement dated 30
September 2022 with LDA Capital Ltd. ("LDA"), as extended on 27 June 2025.
Following the close of the pricing period, LDA has accepted the Put Option
Notice for 7,338,064 ordinary shares. The resulting put option price is NOK
0.48. The aggregate put option is NOK 3,522,271.
The company has initiated the tenth put option period under the existing
agreement. The purpose of the new period is to support the company's regulatory
capital position. NBX fully controls the equity dilution under the agreement and
retains the right to set a minimum acceptable price (MAP) for each drawdown.
Reference is made to the stock exchange notice of 27 June 2025 regarding the
financing agreement with LDA. Pursuant to the existing share loan, Observatoriet
Invest AS, a close associate of board member Bjørn Kjos, has previously
delivered loan shares to LDA. The existing loan share balance is sufficient to
facilitate the tenth period without additional share delivery. The shares
constitute a loan and will be returned to Observatoriet Invest AS once the
period is completed and new shares are issued. As with previous loans, no
interest or fees will be paid on the share loan.
