Reference is made to the mandatory offer (the "Offer") from SalMar ASA (the
"Offeror") to acquire all shares in NTS ASA ("NTS" or the "Company") at an offer
price of NOK 75.48184 per share pursuant to an offer document dated 22 November
2022. Further reference is made to the stock exchange announcement from the
Offeror 20 December 2022 regarding received acceptances of the Offer for
46,661,357 shares. On 20 December 2022 the Offeror has received acceptances
under the Offer for an additional 249,888 shares. In aggregate the Offeror has
on 20 December 2022 received acceptances of the Offer for a total of 46,911,245
shares.
Following these acceptances, the Offeror has received acceptances for a total of
47,168,797 shares and votes in NTS under the Offer. In addition, the Offeror
owns a total of 66,235,009 shares in the Company. The Offeror accordingly has an
aggregate holding of 113,403,806 shares and rights to shares in NTS, equal to
approximately 90.21% of the total number of 125,717,306 issued shares in the
Company.
The Offeror is a close associate of Gustav Witzøe, Chair of the board in NTS.
