With reference to the notice dated 18 February 2022 calling for an extraordinary
general meeting in Otovo AS ("Otovo" or the "Company"). 

The extraordinary general meeting of Otovo was held today on 25 February 2022 at
10:00 CET at the Company's offices (the "EGM"). All proposals on the agenda were
approved, including the private placement and share capital increase. The
minutes of the EGM is attached to this announcement.

As stated in the announcements relating to the private placement, the first day
of trading for the offer shares will be today, 25 February 2022. The private
placement will be settled by Arctic Securities AS and DNB Markets, a part of DNB
Bank ASA (the Managers) on a delivery-versus-payment basis on or about 1 March
2022 (second trading day after the EGM). The offer shares will be settled with
existing and unencumbered shares in the Company that are already listed on the
Euronext Growth Oslo, pursuant to a share lending agreement entered into between
the Company, Arctic Securities AS (on behalf of the Managers) and certain
existing shareholders. The share loan will be settled with new shares in the
Company to be issued following the EGM.
