Otovo's Nomination Committee has proposed the election of Lars Erik Torjussen
and Aina Lemoen Lunde to Otovo's Board of Directors. Torjussen is nominated to
take the position of Chair of the Board.

At the same time, it is proposed that Beatriz Malo de Molina and Eivind
Tønnessen will exit the Board of Directors. 
The Board of Directors has voted that Tønnessen will continue on the Board as an
observer.

Lars Erik Torjussen is CEO of Noroff, the private higher education group, where
he has served for the last 12 years. Prior to this Torjussen has had multiple
roles in the Schibsted Media Group, notably as CEO of Aftenposten and CEO of
Fædrelandsvennen. He is a seasoned Norwegian businessman with broad board
experience, including as Chair of Agder Energi (2018-2022) and continuing as a
board member of Å Energi after Agder Energi's merger with Glitre Energi until
2025, and as Chair of the construction group LTL (2018-). He has also served on
boards of several industry and trade associations in Norway.

Lars Erik Torjussen represents experience in hands-on management in cyclical
businesses with technology driven growth. He combines insights as CEO in
industries in the course of consolidation and extensive presence in the energy
and construction industries.

Aina Lemoen Lunde is a recognized brand builder, digital sales specialist and
marketing partnership developer. She is currently CEO of Feddie Ocean
Distillery, and has previously worked as Executive Vice President of Group
Brand, Marketing and Sales at DNB Group. For fifteen years prior to joining DNB,
she worked in various roles in PR, marketing and communications agencies and
large brands.

With Aina Lemoen Lunde joining the board, Otovo adds highly relevant and up to
date knowledge of digital marketing and sales at a period where the company is
focusing on profitable growth.

Pursuant to the Norwegian Public Limited Liability Companies Act, in which the
minimal gender representation must be 40 percent, it is proposed that Eivind
Tønnessen will not continue as a board member. 

The Board of Directors will call for an extraordinary General Meeting to
effectuate the proposed election of Mr. Torjussen and Ms. Lunde to Otovo's Board
of Directors.
