The Board of Directors ("The Board") of Pexip Holding ASA ("Pexip" or "The
Company") has on 11 August 2023 granted a total of 1,240,000 share options,
equal to 1.19% of total shares issued in the Company, to members of the
management. The exercise price is NOK 19.75 per share, which is equal to the
volume-weighted average traded on Oslo Børs in the past seven days before the
award. The options vest in tranches with 1/3 of the options vesting on 31
December 2024, 1/3 on 31 December 2025, and 1/3 on 31 December 2026. All
options expire on 31 December 2027 and are conditional upon employment at the
time of exercise.
Each share option gives the right to purchase one share in Pexip Holding ASA.
The options are granted in accordance with the authorization granted by the
annual general meeting on 20 April 2023, and part of the long-term incentive
plan for the management.
The share options have been distributed to the primary insiders as follows:
· Trond K. Johannessen, CEO, was granted rights to 400,000 share options.
Following the grant, Mr. Johannessen holds 88,000 shares and 670,000 share
options in Pexip.
· Øystein Dahl Hem, CFO, was granted rights to 160,000 share options.
Following the grant, Mr. Hem holds 140,968 shares and 420,000 share options in
Pexip.
· Åsmund Fodstad, Chief Revenue Officer, was granted rights to 160,000 share
options. Following the grant, Mr. Fodstad holds 787,275 shares and 320,000 share
options in Pexip.
· Ian Mortimer, Chief Technology Officer, was granted rights to 160,000 share
options. Following the grant, Mr. Mortimer holds 54,667 shares and 293,900 share
options in Pexip.
· Ingrid Woodhouse, Chief People Officer, was granted rights to 120,000 share
options. Following the grant, Ms. Woodhouse holds 39,080 shares and 268,125
share options in Pexip.
· Patricia Auseth, Chief Marketing Officer, was granted rights to 120,000
share options. Following the grant, Ms. Auseth holds 13,170 shares and 255,000
share options in Pexip.
· Helge Hoff Hansen, SVP Strategy, was granted rights to 120,000 share
options. Following the grant, Mr. Hansen holds 0 shares and 251,617 share
options in Pexip.
