Bergen, 17 April 2024: The Annual General Meeting of Proximar Seafood AS was
held today on 17 April 2024. All proposals on the agenda were adopted, cf. the
notice of the Annual General Meeting that was published on 3 April 2023, apart
from matter number 8 (Update of the Company's Option Scheme) where the following
resolution was adopted: "The General Meeting approves the updated option scheme
with the addition that new options going forward shall be issued at market price
+ 25% at the time of grant, but the first grant of options following the present
General Meeting may be set at a strike as determined by the Board but in no
event below market price at the time of grant. New options issued are to be
subject to 3 years vesting, 1/3 of the options vesting annually".
The Annual Meeting elected Kjell-Erik Østdahl as new Chair of the Board and
Yasumitsu Himeno, Siri Vike and Elisabeth Adina Dyvik as new members, in
addition to the current members Per Grieg and Viggo Halseth.

Proximar Seafood is a Norwegian land-based salmon farming company with its first
production facility and production at the foot of Mount Fuji in Japan. The
company inserted its first batch of eggs in October 2022 and plans first harvest
