Malta, 5 December 2022:	

RIVER TECH P.L.C. (the "Company") trades on Euronext Growth Oslo (formerly
'Merkur Market') since 2018 by way of SSL (single security link) registration
method through the appointment of a financial institution, Skandinaviska
Enskilda Banken AB (publ) ("SEB"), with whom a registrar agreement was entered
into (the "Registrar Agreement").

As per established market practice in Norway for non-Norwegian issuers,
financial instruments (previously referred to as depositary receipts) were
issued in respect of certain of the Company's shares and were registered with
Euronext Securities Oslo ("ESO", formerly 'Euronext VPS') and admitted to
trading. SEB was registered in the register of shareholders as the nominal
holder of these shares, which link to the aforementioned financial instruments.
The beneficial interests representing the shares have been issued in ESO and
trading on Euronext Growth Oslo since the original listing.

Pursuant to the new Norwegian Central Securities Depository Act, implementing
the EU Central Securities Depositories Regulation (Regulation (EU) No 909/2014),
the SSL method of registration is no longer permitted in Norway.

The Company is therefore transitioning to a primary recording of its shares with
the ESO register by the end of the year. Through this transition, the Company's
shares currently held by SEB will be dematerialized and transferred to ESO,
which will receive the shares on behalf of the investors. The beneficial owners
of the shares, previously referred to as depositary receipt holders, will remain
the same, and at no time will the existing holders be acquiring new instruments.


Upon implementation, SEB will be replaced by the beneficial owners of the
Company's shares in the register of shareholders. The Registrar Agreement
currently in place will be terminated and replaced with an Issuer Account
Operator Agreement stipulating the new role undertaken by SEB on behalf of ESO.

The Company is executing the necessary forms and documents and issuing such
instructions as may be necessary for the proper completion of the transition in
accordance with applicable law.

The Company will confirm the completion of the transition once the process is
completed.
