Samhällsbyggnadsbolaget i Norden AB (publ) ("SBB") has on 19 December 2021
entered into an agreement with OBOS BBL which entails that SBB will transfer its
entire shareholding of 88.11% in Solon Eiendom ASA to Solon Eiendom Holding AS
(under name change from Athomstart Invest 632 AS, org. nr. 927 679 949), and
currently 100% owned by SBB. Pursuant to the agreement OBOS BBL will acquire
49.5% and representatives from Solon management will acquire 1% of the shares in
Solon Eiendom Holding AS, respectively. Of SBB's current shareholding in Solon
Eiendom ASA, 12,416,230 shares are held through SBB in Norden AB, a wholly-owned
subsidiary of SBB. SBB in Norden AB will transfer such shares to SBB prior to
the transaction.
 
The transaction is expected to be completed on 22 December 2021 and following
completion, Solon Eiendom Holding AS will own 71,882,520 shares in Solon Eiendom
ASA, corresponding to 88.11%. SBB and SBB in Norden AB will no longer own any
shares directly in Solon Eiendom ASA, but SBB will own 49.5% of the shares in
Solon Eiendom Holding AS.
 
As previously announced by SBB, SBB will launch a mandatory offer for the
remaining shares in Solon Eiendom ASA by 22 December 2021. The mandatory offer
will be launched as planned and all shares acquired by SBB in such mandatory
offer and/or compulsory acquisition will be transferred to Solon Eiendom Holding
AS on the same terms as the abovementioned transaction. 

SBB's sale of the shares in Solon Eiendom ASA to Solon Eiendom Holding AS will
also trigger an obligation for Solon Eiendom Holding AS to launch a mandatory
bid for the shares in Solon in accordance with section 6-1 of the Norwegian
Securities Trading Act unless an exemption is granted by Oslo Stock Exchange in
its capacity as take-over authority. Unless such exemption is given or a
compulsory acquisition by SBB has been completed, such mandatory offer may run
in parallel or come subsequent to the mandatory offer that will be launched by
SBB by 22 December 2021. The offer price will be NOK 44 in both mandatory
offers, which is equal to the highest price both each of SBB and Solon Eiendom
Holding AS has paid for shares in Solon Eiendom ASA during the relevant six
month periods.
