Oslo, 1 September 2025: In connection with Spir Group ASA's (the "Company")
extraordinary general meeting to be held on 11 September 2025 (the "EGM"), the
Company's chair of the board of directors, Rolv Erik Ryssdal, has received
voting proxies without voting instructions for 15,170,497 shares and votes at
the EGM, representing 11.41% of the Company's outstanding shares and votes. The
voting proxies received are only valid for the EGM and lapse automatically after
the EGM is concluded.

In addition, Rolv Erik Ryssdal controls, directly and  indirectly through Barney
Invest AS, a total of 1,840,969 shares and votes in the Company, equal to 1.38%
of the Company's outstanding shares and votes, which, together with the voting
proxies received as referred to above means that Ryssdal controls 17,011,466
shares and votes, equal to 12.80% of the Company's outstanding shares and votes,
at the EGM.
