Reference is made to the stock exchange announcement published by Tekna Holding
ASA (the "Company") on 18 November 2025, regarding the commencement of the
subscription period in the fully underwritten rights issue of 100,000,000 new
shares in the Company, at a subscription price of NOK 3.00 per share to raise
gross proceeds of NOK 300 million (the "Rights Issue").

As part of this process, certain primary insiders, and certain close associates
of primary insiders, of the Company have subscribed for offer shares.

At present, the following primary insiders, including their close associates,
have in total subscribed for 310,007 offer shares at the subscription price of
NOK 3.00. 

Claude Jean, CEO of the Company, has on 24 November 2025 (over)subscribed for
120,000 offer shares at the subscription price.

Remy Pontone, EVP Materials, has on 24 November 2025 subscribed for 100,000
offer shares at the subscription price.

ESC Holding AS, a company closely associated with Espen Schie, CFO of the
Company, has on 25 November 2025 subscribed for 20,010 offer shares at the
subscription price.

Damgløtt AS, a company close associated with Ann-Kari Amundsen Heier, member of
the Board of Directors of the company, has on 25 November oversubscribed for
19,997 offer shares at the subscription price, in addition to the earlier
subscription on 18 November 2025 for 13,336 offer shares (already notified),
totaling 33,333 offer shares.

Lars Magnus Fagernes, member of the Board of Directors of the Company, has on 25
November 2025 acquired 50,000 subscription rights in the Company at the price of
NOK 0,071, the total value of the transaction was NOK 3,550. He has on 25
November 2025 subscribed for 50,000 offer shares at the subscription price.

The grand total of subscription by all primary insiders and close associates to
date stands at 1,087,156 offer shares.

In addition, Arendals Fossekompani ASA, a company close associated with Ann-Kari
Amundsen Heier, member of the Board of Directors of the company, has on 25
November 2025 subscribed for 69,452,142 offer shares at the subscription price.

A stock exchange announcement with final subscription and allocation, including
allocation to primary insiders, will be published following completion of the
subscription period.
