Oslo, 17 October 2024 - Reference is made to the offer document dated 19 August
2024 (the "Offer Document") by Edison Bidco AS (the "Offeror"), an indirect
subsidiary of Al Volt (Luxembourg) Sàrl, a vehicle formed by funds managed
and/or advised by Advent International, L.P. and or/certain of its affiliates
and funds managed and/or advised by Generation Investment Management LLP, for
the voluntary cash tender offer to acquire all of the outstanding shares (the
"Shares") in Volue ASA ("Volue" or the "Company") (the "Offer") at a price of
NOK 42.00 per Share.
The acceptance period under the Offer expired at 16:30 (CEST) on 16 October
2024. As announced on 17 October 2024, the Offeror has received acceptances of
the Offer for a total of 56,001,169 Shares, which, taken together with the
86,316,779 Shares under irrevocable undertakings by Arendals Fossekompani ASA,
pursuant to a contribution agreement entered into with the Offeror, and
irrevocable pre-acceptances from certain shareholders in Volue, represents
approximately 98.9% of the Shares.
Settlement of the Offer will be made pursuant to the terms of the Offer Document
and will take place no later than 8 November 2024, subject to the remaining
Closing Conditions, as set out in Section 2.8 ("Conditions for completion of the
Offer") in the Offer Document, remaining fulfilled or being waived (at the
Offeror's sole discretion) until settlement of the Offer. Following settlement
of the Offer, the Offeror will own 142,317,948 shares in the Company, which
equals approx. 98.9% of the total number of shares in Volue.
