Oslo, 12 September 2023: Reference is made to the stock exchange announcement
published by XXL ASA (the "Company") on 11 September 2023 regarding the
registration of the share capital increases pertaining to the issuance of the
1,250,001,065 new shares, divided into 945,922,056 ordinary shares (class A
shares) and 304,079,009 new non-voting shares (class B shares) in the rights
issue and the issuance of the 25,628,659 new non-voting shares (class B shares)
in connection with the settlement of underwriting commission.

The newly issued shares in connection with the rights issue and the settlement
of underwriting commission have now been delivered to the investors in their
respective CSD accounts (Nw.: "Verdipapirsentralen" or "VPS"). The class A
shares have been issued in Euronext Securities Oslo (CSD) on the listed ISIN NO
0010716863 and will be tradable from today, 12 September 2023, and the class B
shares have been issued in CSD on the unlisted ISIN NO 0013014589. The new
non-voting shares (class B shares) have only been delivered to Altor Invest 5 AS
and Altor Invest 6 AS.

Furthermore, 8,470,000 existing ordinary shares (class A shares) held in
treasury by the Company have been delivered to certain underwriters pursuant to
the subscription and underwriting agreement dated 14 July 2023 as settlement of
their entitlement to commission under that agreement. Following the delivery of
treasury shares, the Company does not hold any shares in treasury.
