Zalaris ASA: Results of recommended mandatory offer

Reference is made to the stock exchange announcement made by Zalaris ASA (the
"Company") on 15 June 2026, where it was announced that the Financial
Supervisory Authority of Norway had approved an offer document for the mandatory
offer (the "Offer") by Kona BidCo AS (the "Offeror") to acquire all of the
issued and outstanding shares in the Company (the "Shares") not already owned by
the Offeror at an offer price of NOK 100 per share, pursuant to an offer
document dated 15 June 2026 (the "Offer Document").

The offer period for the Offer expired on 14 July 2026.

As of the expiry of the offer period, and subject to customary verification, the
Offeror has received acceptances under the Offer for 199,227 Shares,
representing approximately 0.90% of the issued and outstanding share capital and
voting rights of the Company (0.91% adjusted for the Company's holding of own
Shares). In addition, the Offeror already owns 19,128,811 Shares. Consequently,
subject to due settlement of the Shares for which acceptances are received, the
Offeror will own 19,328,038 Shares, representing approximately 87.32% of the
issued and outstanding share capital and voting rights of the Company (88.54%
adjusted for the Company's holding of own Shares).

Settlement of the Offer shall take place pursuant to the terms of the Offer
Document and will be made to shareholders of the Company having accepted the
Offer within 14 calendar days after expiry of the offer period.
As previously announced, the Offeror intends to apply for a delisting of the
Shares from Euronext Oslo Børs, and on 11 August 2026 an extraordinary general
meeting will be held in the Company to approve to apply for delisting.
