Statement from the Annual General Meeting of Aino Health AB (publ)

Today, on 20 May 2019, an Annual General Meeting of Aino Health AB (publ) was held. A summary of the resolutions follows.

The general meeting resolved to discharge Liselotte Hägertz Engstam, Per-Olof Schroeder and Liselotte Bergmark as board members, to elect Tanja Ilic, Daniel Koob, Martin Bunge-Meyer and Klas Bonde as new board members and re-elect Jyrki Eklund as member of the board of directors until the end of the next annual general meeting. The general meeting resolved to elect Tanja Ilic as chairman of the board of directors until the end of the next annual general meeting.

The general meeting resolved to re-elect MAZARS SET Revisionsbyrå AB as auditor until the end of the next annual general meeting. Helene Sjöström will continue as auditor in charge.
The general meeting resolved to adopt the profit and loss account, the balance sheet, the consolidated profit and loss account and the consolidated balance sheet.

The general meeting resolved to allocate the result in accordance with the proposal from the board of directors, i.e., to carry forward the result and that no dividend shall be paid for the financial year 2018.

The general meeting resolved to discharge each of the members of the board of directors and the managing director from liability toward the company for the financial year 2018.
The general meeting resolved that, between the annual general meeting of 2019 and the annual general meeting of 2020, the ordinary members of the board of directors shall each receive SEK 100,000 as remuneration, the chairman of the board of directors shall receive SEK 150,000 as remuneration and no remuneration shall be paid to the board members employed by the Company.

The general meeting resolved that the auditor shall be paid based on approved invoices.
