Arctic Blue Beverages AB (“Arctic Blue Beverages” or the “Company”) today announces the outcome of the exercise of warrants of series TO1 (the “Warrants”) that were included in the units issued in connection with the listing of the Company’s shares on Nasdaq First North Growth Market in May 2022. A total of 1,642, 918 shares were subscribed for with the support of the Warrants, implying an exercise rate of approximately 44 percent. Arctic Blue Beverages receives proceeds of approximately MSEK 1.6 before issue costs.
The number of outstanding Warrants amounted to 3,733,332. One (1) Warrant entitled the subscription of one (1) new share in Arctic Blue Beverages at a subscription price per share of SEK 0.96, corresponding to 70 percent of the volume-weighted average price of the Company’s share on Nasdaq First North Growth Market over a period of ten (10) trading days prior to the first day of subscription. The exercise period for the Warrants lasted from October 3, 2022, to October 14, 2022. The exercise rate of outstanding Warrants was approximately 44 percent, corresponding to 1,642,918 Warrants for subscription of an equal number of new shares. Exercised Warrants are replaced by interim shares until the registration of the issue has been completed with the Swedish Companies Registration Office, whereupon the interim shares automatically will be converted into ordinary shares in Arctic Blue Beverages.
Through the exercise of the Warrants, the total number of shares in Arctic Blue Beverages increases by 1,642,918 from 17,118,798 to 18,761,716. The share capital in Arctic Blue Beverages increases by SEK 78,860.064 from SEK 821,702.304 to SEK 900,562.368.
