Momentum Group has today signed an agreement to acquire 80 percent of the shares in Conclean AB. Conclean has a market-leading niche position in Sweden within products for water purification. The closing is expected to take place in September and the acquisition is expected to have a marginal positive impact on Momentum Group's earnings per share during the current financial year. Part of the purchase price is paid through transfer of repurchased B shares to the sellers.
“Acquisitions are an important part of Momentum Group's growth strategy and with Conclean we are growing in infrastructure and water. Conclean has a strong position in water purification and water recycling with high-quality products, deep knowledge and reputable suppliers. The market segment has significant growth and development potential both in Sweden and abroad – on which we will continue to build,” says Martin Gyllix, M&A at Momentum Group.
Conclean was established in 2014 in Norrköping and is a leading niche player in private sewage, rainwater recycling and stormwater management, primarily for construction companies but also directly to municipalities. The offer includes mini-treatment plants, septic tanks, pumping stations, rain recovery tanks and oil separators. The company has long-standing collaborations with well-established suppliers such as Graf, AQT Water Management and Eccua. The business is located in Norrköping and Örebro with planning, sales and service, has annual sales of approximately SEK 47 million and 11 employees.
Conclean will continue to operate as an independent subsidiary and competence center under the current management within the Components business area (the Specialist area) in accordance with Momentum Group's philosophy of decentralized business responsibility.
“We look forward to becoming part of the Momentum Group, with whom we share “value before price” as a strategy. Our priority is satisfied customers. We do this by delivering top-class products from reputable suppliers together with a high-class service”, says Kim Åkerwall, CEO and co-owner of Conclean. “We also share the vision of being the customer's best sustainable choice – sustainability permeates everything from environmental issues to our products and relationships. Our solutions also fill a vital societal function with sustainability in focus. Together we will be able to develop Conclean further”, he concludes.
Part of the purchase price, SEK 15 million, is paid through the transfer of repurchased B shares to the sellers. The number of shares and the price per share are determined by the volume-weighted average price of the company's B-share on Nasdaq Stockholm during the ten (10) trading days immediately preceding the closing date.
